Terms & Conditions of Service

1. Agreement to Terms & Binding Arbitration

These Terms and Conditions of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Creator", "You") and Dakshyam Infotech ("Company", "we", "us", or "our"), governing your access to and utilization of the GoViralReel mobile application, website, backend APIs, and associated creator services.

By downloading, installing, launching, accessing, or subscribing to GoViralReel, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the application and cancel any active trial or subscription.

2. Intellectual Property Rights & Content Ownership

  • Creator Content Ownership: You retain 100% exclusive intellectual property ownership, copyright, title, and all commercial rights in and to all source video footage, raw audio recordings, voice samples, script drafts, and final exported video assets created or processed through GoViralReel.
  • Limited Operational License: You grant Dakshyam Infotech a strictly limited, non-exclusive, worldwide, royalty-free, ephemeral license solely to process, transcode, synthesize, lip-synchronize, and transmit your media files as required to deliver your requested in-app operations. This license terminates automatically once processing is finished.
  • Company Proprietary Rights: The GoViralReel application interface, visual identity, branding, custom typography algorithms, GoViralReel Neural Pipeline™, GoViralReel RankEngine™, compiled binary code, backend APIs, and software architecture are the exclusive intellectual property of Dakshyam Infotech.

3. Acceptable Use Policy & Zero-Tolerance Violations

You agree that you will utilize GoViralReel strictly for lawful creative, commercial, and educational purposes. You represent and warrant that you will NOT:

  • ❌ Create non-consensual voice clones, audio deepfakes, or biometric likeness impersonations of any individual without explicit, verifiable written consent.
  • ❌ Produce, process, or disseminate defamatory, harassing, sexually explicit, abusive, fraudulent, terroristic, or hateful media.
  • ❌ Upload or distribute copyrighted media, commercial music tracks, or trademarked assets without appropriate licensing or fair use authorization.
  • ❌ Reverse-engineer, decompile, disassemble, or attempt to extract the underlying source code, neural weights, or proprietary algorithms of the application.
  • ❌ Circumvent, bypass, or tamper with our Creator Credit quotas, subscription verification gates, or API rate limiters.
  • ❌ Deploy automated bots, crawlers, or scraping scripts against our backend servers or social media gateway APIs.

4. Creator Credit Tokenomics & Apple In-App Purchases

GoViralReel operates a hybrid service model offering local on-device capabilities alongside cloud-accelerated neural AI features:

  • Creator Credit Consumption: Intensive cloud AI tasks (e.g. AssemblyAI high-accuracy transcription, MiniMax voice cloning, Sync.so neural lip-sync) consume Creator Credits based on media duration and complexity. Local features (video slicing, 9:16 cropping, local subtitle burning) require no credit consumption.
  • Apple ID Billing & StoreKit: All subscription plans (Weekly, Monthly, Annual) and one-time Credit Top-Up packs are billed securely and exclusively through your Apple ID Account upon purchase confirmation.
  • Automatic Renewal: Subscriptions automatically renew at the specified interval and price unless auto-renewal is disabled at least 24 hours prior to the conclusion of the current billing period.
  • Managing & Canceling Subscriptions: You can manage, modify, or cancel your active subscriptions at any time directly in your iPhone Settings > Apple ID > Subscriptions. Deleting the app does not automatically cancel your active Apple subscription.
  • Refund Policy: All billing, invoicing, and refund transactions are governed exclusively by Apple Media Services Terms and Conditions. Dakshyam Infotech does not directly collect, hold, or process credit card data.

5. Multi-Platform Social Media Integration Disclaimers

GoViralReel includes optional direct-to-social publishing features for TikTok, Instagram, Facebook, YouTube, and LinkedIn:

  • Compliance with Platform Rules: When publishing content via our Social Gateway, you remain exclusively responsible for ensuring that your video title, description, audio soundtrack, and visual content strictly comply with each third-party platform's Community Guidelines and Developer Policies.
  • Platform Account Actions: Dakshyam Infotech is not responsible for any copyright claims, content takedowns, shadowbans, reach limitations, or account suspensions imposed by third-party platforms (such as TikTok, Meta, YouTube, or LinkedIn).
  • Revocation of Access: You can disconnect and revoke social media publishing permissions at any time through the in-app Settings.

6. Generative AI Disclaimer & Quality Warranty

  • Probabilistic Nature of AI: Generative AI models (including speech-to-text transcriptions, translated audio, and generated scripts) operate probabilistically and may occasionally produce phonetic errors, grammatical inaccuracies, or unexpected artifacts.
  • Creator Verification Responsibility: You are solely responsible for reviewing, auditing, and approving all generated subtitles, translations, scripts, and video clips prior to public distribution or commercial broadcast.
  • "AS-IS" Warranty Disclaimer: GoViralReel and all associated features are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability & Indemnification

  • Limitation of Damages: To the maximum extent permitted by applicable law, in no event shall Dakshyam Infotech, its directors, employees, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or audience engagement) arising out of or related to your use of the application.
  • Monetary Cap: In all circumstances, our aggregate liability shall be strictly limited to the total amount paid by you for GoViralReel subscriptions or credit packs during the twelve (12) months immediately preceding the claim.
  • Indemnification: You agree to defend, indemnify, and hold harmless Dakshyam Infotech from and against any claims, liabilities, damages, losses, or legal expenses arising from your violation of these Terms, your content, or your unauthorized use of third-party likeness or intellectual property.
